Business Summary
Simon CP 2 is the entity under which Simon Property Group, L.P. (the "Operating Partnership") is establishing a global unsecured commercial paper note program (the "Notes"). The Notes will be direct, unconditional, unsubordinated and unsecured obligations of the issuer Simon CP 2 and its guarantor, the Operating Partnership. Under the terms of the program, Simon CP 2 may issue from time to time Notes denominated in U.S. dollars, Euros and other currencies, up to a maximum aggregate amount outstanding at any time of $500 million, or the non-U.S. equivalent thereof. Notes issued in non-U.S. currencies may be issued by one or more subsidiaries of the Operating Partnership and guaranteed by the Operating Partnership. The proceeds of the Notes will be used by the Operating Partnership for general corporate purposes.
