Anatolia Pass Through Trust is being created to facilitate the issuance of yen-denominated Enhanced Equipment Trust Certificates ("EETCs") on behalf of the owners and lessors ("Lessor SPVs") of three separate Japanese Operating Lease with Call Option ("JOLCO") structures. Turk Hava Yollari Anonim ("Turkish Airlines") will lease three Airbus A321-200 aircraft with expected delivery dates before November 30, 2015 from the Lessor SPVs. The Lessor SPVs will borrow loans from the Anatolia Trust, which will issue the EETC Investments by private placement. The proceeds of the EETC Investments plus the equity contributions from investors will finance the Lessor SPVs' purchases of the aircraft.
